PLEASE READ THESE TERMS OF SERVICE ("TERMS") CAREFULLY. BY CHECKING THE ACCEPTANCE BOX AND LOGGING IN, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE SOFTWARE. YOU MUST ACCEPT THESE TERMS EACH TIME YOU LOG IN.

1. Proprietary Rights; Copyright

MALY Analytics, including all software, source code, object code, algorithms, data models, databases, analytics, outputs, documentation, and user interfaces (collectively, the "Software"), is the copyrighted and proprietary property of Ricks Law, LLC. All rights not expressly granted in these Terms are reserved by Ricks Law, LLC. The Software is protected by United States copyright law and other intellectual property laws. No title to or ownership of the Software, or any intellectual property rights therein, is transferred to you.

2. Limited License

Subject to your compliance with these Terms, Ricks Law, LLC grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Software solely for your own internal, authorized purposes. This license is a privilege, not a right, and may be modified or withdrawn at any time.

3. Prohibited Conduct

You shall not, and shall not permit or assist any third party to: (a) copy, reproduce, replicate, duplicate, download, scrape, or extract the Software or any portion of it, in any form or by any means; (b) modify, adapt, translate, reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, structure, or methodology of the Software; (c) sell, resell, license, sublicense, rent, lease, lend, distribute, publish, or otherwise commercialize the Software or its outputs; (d) use the Software, its data, or its outputs to generate revenue, obtain commercial advantage, or otherwise profit, directly or indirectly, without the prior written consent of Ricks Law, LLC; (e) share, disclose, or transfer your login credentials or access to any other person; (f) remove, alter, or obscure any copyright, trademark, or proprietary notice; or (g) use the Software to develop, train, or improve any competing product or service.

4. Termination

Ricks Law, LLC may suspend or terminate your access to the Software at any time, for any reason or for no reason, with or without notice, and without any liability to you. Upon termination, your license ends immediately and you must cease all use of the Software. Sections 1, 3, 5, 6, 7, 8, and 9 survive termination.

5. No Warranty; Accuracy Disclaimer

THE SOFTWARE AND ALL DATA, ANALYTICS, PREDICTIONS, AND OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR COMPLETENESS. The Software's data and outputs may be incomplete, outdated, or inaccurate, and may contain errors arising from source documents, automated extraction, statistical methods, or other causes. Ricks Law, LLC does not warrant that the Software will be uninterrupted, error-free, or secure.

6. No Reliance; Not Legal Advice

The Software is an informational and analytical tool only. You must not rely on the Software or its outputs as the basis for any legal, professional, financial, or strategic decision. The Software does not constitute legal advice and does not create an attorney-client relationship with Ricks Law, LLC. You are solely responsible for independently verifying any information obtained from the Software and for the exercise of your own independent professional judgment.

7. Release and Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU HEREBY FULLY, FINALLY, AND FOREVER RELEASE, WAIVE, AND DISCHARGE RICKS LAW, LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, ATTORNEYS, CONTRACTORS, AND AGENTS (THE "RELEASED PARTIES") FROM ANY AND ALL CLAIMS, DEMANDS, LIABILITIES, DAMAGES, LOSSES, COSTS, AND EXPENSES OF ANY KIND, WHETHER KNOWN OR UNKNOWN, ARISING OUT OF OR RELATING TO THE SOFTWARE, ITS OUTPUTS, YOUR USE OF OR INABILITY TO USE THE SOFTWARE, OR ANY RELIANCE ON ITS CONTENT. WITHOUT LIMITING THE FOREGOING, THE RELEASED PARTIES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR ADVERSE CASE OUTCOMES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IF, NOTWITHSTANDING THE FOREGOING, LIABILITY IS IMPOSED ON ANY RELEASED PARTY, TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).

8. General

Governing Law. These Terms are governed by the laws of the State of Maryland, without regard to conflict-of-laws principles. Exclusive venue for any dispute lies in the state or federal courts located in Maryland, and you consent to personal jurisdiction there. Injunctive Relief. You agree that breach of Sections 1 or 3 would cause irreparable harm for which money damages are inadequate, and Ricks Law, LLC is entitled to injunctive relief without posting bond, in addition to all other remedies. Modifications. Ricks Law, LLC may modify these Terms at any time. Continued use after modification constitutes acceptance. Waiver. Failure to enforce any provision is not a waiver. Entire Agreement. These Terms constitute the entire agreement between you and Ricks Law, LLC regarding the Software.

9. Severability

If any section, provision, or portion of these Terms is found by a court of competent jurisdiction to be unlawful, invalid, or unenforceable, that section, provision, or portion shall be deemed void and of no effect, and shall be severed from these Terms without affecting the validity or enforceability of any remaining section or provision, all of which shall remain in full force and effect. To the extent permitted by law, any void provision shall be replaced by, or construed as, a valid provision that most closely reflects the original intent of the parties.
